Holiday Campaign 25: The Gift Flip – Official Rules

1. Acceptance of Terms

By participating in Holiday Campaign 25: The Gift Flip (the “Promotion”), you agree to these Official Rules (“Rules”) and the Kraken.com Terms of Service, which together form a binding contract between you and Kraken. No purchase, payment, or trading activity is necessary to enter or win.

2. Sponsor

The Promotion is sponsored by Payward, Inc., 1209 Orange St., Wilmington, DE 19801 (“Kraken,” “we,” or “us”).

3. Eligible Areas

Open to residents of:

• United States (excluding New York and Maine);
• Canada;
• the EEA (European Economic Area);
• Australia.

Open to eligible Kraken customers excluding the United Kingdom, or any jurisdiction in which participation would be prohibited by law.

4. Promotion Period

Begins 12:00 a.m. UTC on December 25, 2025 and ends 11:59 p.m. UTC on January 19, 2026. Kraken may extend, modify, or terminate the Promotion at any time by public notice on Kraken’s official social media channels.

5. How to Participate

To enter, participants must:

1. Follow @krakenfx on X (Twitter), Instagram, or TikTok; or engage on Reddit via the r/cryptocurrency subreddit under Kraken’s official post.
2. Post a photo or video (or comment on Reddit) showcasing an unwanted holiday gift and include a caption or voice-over “roasting” the gift.
3. Tag @krakenfx and use the official hashtag #GiftFlip in the post.

Entries must be original, publicly visible during the Promotion Period, and comply with each platform’s terms of service. Limit one entry per account per platform.

6. Judging and Awards

All valid entries will be reviewed and short-listed by Kraken’s Marketing Operations team and judged by Kraken’s internal panel based on:

• Humour and entertainment value;
• Creativity and presentation quality; and
• Relevance to the “bad gift” theme.

Awards and BTC values:

7. Eligibility

• Be natural persons aged 18 or older (or age of majority in their jurisdiction);
• Hold or create a verified Kraken account in good standing to receive any reward; and
• Comply with these Rules and applicable laws.

Employees, officers, directors, agents, and immediate family members of Kraken and its affiliates are not eligible.

8. Disqualification

Kraken may disqualify any participant who:

• posts illegal, offensive, or inappropriate content;
• uses multiple accounts or automated tools to enter;
• violates these Rules or platform terms; or
• fails KYC verification or maintains an inactive account.

Disqualification may result in forfeiture of any reward.

9. Notification and Reward Issuance

Winners will be notified via direct message from @krakenfx on the platform used for entry and must provide the email address linked to their verified Kraken account within 7 days of notice. Winning submissions may be publicly shared on Kraken social channels shortly after.

BTC prizes will be credited directly to verified Kraken accounts within 60 days of winner confirmation. Accounts must remain open and in good standing at the time of crediting.

10. Consents and Approvals

By entering, you grant Kraken a non-exclusive, worldwide, royalty-free licence to use, repost, reproduce, and display your submitted photo, video, or caption (collectively, “Content”) for promotional purposes across Kraken’s official websites, social media accounts, and marketing materials.

You also consent to Kraken contacting you for administrative and marketing purposes in connection with this Promotion. Personal data will be processed in accordance with Kraken’s Privacy Notice at https://www.kraken.com/legal/privacy.

11. Disclaimers / Force Majeure

Kraken is not responsible for late, lost, misdirected, corrupted, or incomplete entries, nor for technical or network failures of any kind. Kraken and its affiliates are not liable for any delay or failure resulting from acts of God, natural disasters, war, terrorism, labour disputes, government action, or any other cause beyond their reasonable control.

12. Limitation of Liability

To the maximum extent permitted by law, participants release Kraken and its affiliates, officers, employees, and agents from any claims or damages arising from participation in the Promotion or receipt or use of any reward. No consequential, incidental, punitive, or special damages shall be recoverable; total liability is limited to USD $25.

13. Disputes and Governing Law

These Rules are governed by the laws of England and Wales, without reference to conflicts of law principles. Any dispute arising out of or related to this Promotion shall be resolved by confidential binding arbitration under the LCIA Rules in London, England. Kraken may seek injunctive or equitable relief in any competent court.

14. Taxes

Each winner is solely responsible for any applicable taxes or duties arising from receipt of a BTC reward. Kraken will not provide tax advice or gross-up payments.

15. General Terms

Kraken may modify, suspend, or terminate this Promotion at any time for any reason, including fraud, regulatory change, or technical issues. Failure to enforce any term shall not constitute a waiver. If any provision is held invalid, the remainder shall remain in full force. These Rules, together with the Kraken Terms of Service, constitute the entire agreement relating to the Promotion.
