LUNAR NEW YEAR LOCAL SOCIAL MEDIA ACTIVATION — OFFICIAL RULES

BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING. NO PURCHASE, PAYMENT, OR FUNDING IS NECESSARY TO PARTICIPATE OR WIN. PURCHASE, PAYMENT, OR FUNDING WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Sponsor

This promotion (the “Promotion”) is sponsored by Payward, Inc., known as Kraken (“Sponsor” or “Kraken”).

2. Eligible Areas

The Promotion is open only to residents of jurisdictions where (i) xStocks are lawfully offered by Kraken and (ii) promotional sweepstakes do not require registration, bonding, or governmental approval.

Void where prohibited, including but not limited to: the United Kingdom, Italy, Brazil, Quebec (Canada), and any sanctioned jurisdictions, and any jurisdiction where this Promotion is prohibited.

3. Promotion Period

The Promotion begins February 15, 2026 and ends February 22, 2026 (the “Promotion Period”). Kraken may modify, suspend, or end the Promotion at any time in its sole discretion.

4. How to Participate

To enter, during the Promotion Period you must:

  1. Follow the Kraken Chinese Twitter/X account;
  2. Reply to the main Promotion tweet with a lucky phrase for the Year of the Horse (e.g., “马到成功”); and
  3. Include the hashtag #Kraken马年来了 in your reply.

Limit one (1) entry per person during the Promotion Period.
Entries must be submitted by a natural person. Entries submitted using bots, scripts, macros, automation, or other fraudulent or abusive means are void.

5. Winner Selection

This is a sweepstakes. Thirty (30) winners will be selected by random drawing from all eligible entries received during the Promotion Period.

6. Prize

Each winner will receive $80 USD equivalent in $TSLAx (xStocks) credited to the winner’s eligible Kraken account.

  • Number of prizes: 30
  • Total maximum prize pool: $2,400 USD equivalent in $TSLAx
  • Non-transferable prior to crediting to the winner’s Kraken account.
  • Kraken may substitute a prize of equal or greater value if $TSLAx is unavailable or cannot be awarded in a winner’s jurisdiction.

7. Eligibility

You are eligible if, at the time of entry and during the Promotion:

  • You reside in an Eligible Area (Section 2) and are not located in or a resident of any excluded area;
  • You maintain a Kraken Consumer or Pro account eligible to receive xStocks;
  • You complete the identity verification required to receive xStocks;
  • You agree to the Kraken.com Terms of Service; and
  • You are not otherwise prohibited from participating under applicable law.

Eligibility is subject to verification by Kraken in its sole discretion prior to prize fulfillment.

Limit one (1) prize per person, per Kraken account, and per IIBAN during the Promotion Period. Kraken may cross-check using the winner’s submitted IIBAN to prevent duplicate wins.

8. Disqualification

Kraken may disqualify any participant who, in Kraken’s sole discretion:

  • Violates these Official Rules or Kraken’s Terms of Service;
  • Provides inaccurate, incomplete, or misleading information;
  • Engages in fraudulent, abusive, manipulative, automated, or harmful behavior;
  • Uses bots/scripts/macros/automation to submit entries;
  • Attempts to circumvent entry limits or create multiple accounts; or
  • Submits multiple entries using the same IIBAN or account.

Entries that do not comply with the entry method (follow + reply + required hashtag) are void.

9. Prize Fulfillment

Prizes will be credited within thirty (30) days following winner verification and confirmation of compliance with these Official Rules.

If a winner’s account is closed, suspended, restricted, or deemed ineligible at the time of distribution, Kraken may withhold, cancel, or reallocate the prize in its sole discretion. If a winner fails to complete required verification within the timeframe specified by Kraken, the prize may be forfeited and an alternate winner selected.

 

10. Consents and Approvals; Privacy

By participating, you consent to Kraken using data submitted or collected in connection with the Promotion, including disclosure to third parties for administration, compliance, verification, and legal purposes.

11. Disclaimers

Kraken is not responsible for technical issues, platform outages, service interruptions, social media platform failures, or events outside its reasonable control, including force majeure circumstances such as natural disasters, war, labor disputes, cyber incidents, government action, or regulatory changes.

12. Limitation of Liability, Disputes, and Governing Law

By participating, you release and hold harmless Sponsor and its affiliates, officers, directors, employees, and agents (collectively, the “Released Parties”) from any claims, damages, losses, or liabilities arising out of or relating to your participation in the Promotion or acceptance or use of any prize, to the maximum extent permitted by law.

TO THE EXTENT PERMITTED BY LAW: (1) ALL DISPUTES SHALL BE RESOLVED INDIVIDUALLY, WITHOUT ANY CLASS OR REPRESENTATIVE ACTION; (2) ANY RECOVERY SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS, NOT TO EXCEED US $25, AND NO ATTORNEYS’ FEES, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES SHALL BE AWARDED; AND (3) YOU WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

These Official Rules and any dispute arising from the Promotion shall be governed by the laws of England and Wales, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively by confidential, binding arbitration in London, England under the LCIA Rules, and judgment on the award may be entered in any court of competent jurisdiction. If any provision is found unenforceable, the remainder shall remain in effect.
