1. Sponsor

This promotion (“Promotion”) is sponsored by Payward, Inc., 1209 Orange St., Wilmington, DE 19801, USA (“Sponsor” or “Kraken”).

2. Eligible Areas

Open to eligible Kraken customers who receive communications inviting them to opt in to this promotion. Not available in certain jurisdictions, including the United Kingdom, Canada, and anywhere prohibited by law

3. Promotion Period

The Promotion begins at 12:00 AM UTC on February 9, 2026, and ends at 11:59 PM UTC on February 13, 2026 (the “Promotion Period”). Sponsor reserves the right to modify or terminate the Promotion at any time in its sole discretion.

4. How to Enter

From the Kraken App

  • Download the latest version of the Kraken app.
  • Tap your profile picture in the top-left corner of the Home screen.
  • Tap Offers.

  • Tap Enroll Now.

From the Kraken Pro App

  • Download the latest version of the Kraken Pro app.
  • Tap More in the navigation bar.

  • Tap Enroll Now.

Participants may enter the Promotion by one (1) of the following methods:

A. SKR Trading Entry
During the Promotion Period, eligible participants who trade at least $50 USD equivalent in SKR tokens on Kraken Spot will receive one (1) entry into the random drawing for the Prize.
Trading above $50 does not increase the chance of winning. Limit: one (1) entry per Kraken account.

B. Free Alternate Method of Entry (AMOE)
To enter without making a trade, click this hyperlink and follow the instructions. Each valid Sweeppea entry equals one (1) entry. Limit: one (1) entry per person, regardless of method.

All entries—whether by trade or by mail—have an equal chance of winning.

5. Prize

Thirty (30) eligible winners will receive one (1) mobile phone (Approximate Retail Value: USD $500) (the “Prize”).

The Prize is non-transferable and cannot be exchanged or redeemed for cash. Sponsor reserves the right to substitute a prize of equal or greater value.
Winner is responsible for all taxes, duties, and fees associated with receipt of the Prize.

6. Winner Selection and Notification

Thirty (30) winners will be selected at random from all eligible entries received during the Promotion Period.

The winner will be notified by email within fourteen (14) days of the drawing. The winner’s Kraken account must be active, verified to at least the Intermediate KYC level, and in good standing at the time of award.

If the selected winner does not respond within seven (7) days or is deemed ineligible, the Prize may be forfeited and another winner selected.

7. Eligibility

You are eligible to participate if, at the time of entry and throughout the Promotion Period, you:

  • Are at least 18 years of age (or the age of majority in your jurisdiction of residence);
  • Hold a verified Kraken account with Intermediate KYC; and
  • Reside in one of the Eligible Areas.

8. Privacy and Data Use

By entering the Promotion, you consent to Kraken’s collection and use of personal data for the purposes of administering the Promotion and fulfilling the Prize.
Personal data will be handled in accordance with Kraken’s Privacy Policy.
Winner information may be disclosed to third parties as required by law.

9. Disclaimers

Kraken is not responsible for lost, late, incomplete, or misdirected entries; technical issues; or other factors beyond its control that affect participation or award.
Kraken and its Related Parties are not liable for loss or damage arising from acts of God, network failures, or government action.

10. Limitation of Liability, Disputes, and Governing Law

By participating, you release and hold harmless Kraken, the Sponsor, and all Related Parties from any claims, damages, or liabilities arising from participation or Prize use.

To the maximum extent permitted by law:

  1. Disputes will be resolved individually, without resort to class actions;
  2. Claims, judgments, and awards are limited to actual out-of-pocket costs not exceeding USD $25; and
  3. You waive rights to punitive, incidental, or consequential damages.

This Promotion and these Rules are governed by the laws of England and Wales.
Disputes shall be resolved by confidential binding arbitration in London, England, under the LCIA rules. Kraken may seek equitable relief in any competent court.

11. Taxes

Winner is solely responsible for any taxes or duties arising from receipt of the Prize. Kraken does not provide tax advice.

12. General Terms

Kraken may modify, suspend, or cancel the Promotion at any time for any reason, including fraud, legal changes, or technical failures.
Failure to enforce any provision does not constitute a waiver.
If any provision is held invalid, the remainder remains in effect.
