Kraken's XRP Incentive

BY PARTICIPATING IN THIS PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE PARTICIPATING.

NO PURCHASE NECESSARY TO PARTICIPATE; HOWEVER, A QUALIFYING TRADE IS REQUIRED TO RECEIVE A REWARD. A QUALIFYING TRADE WILL NOT INCREASE YOUR CHANCES OF RECEIVING A HIGHER REWARD AMOUNT.

1. Sponsor
   This promotion (the “Promotion”) is sponsored by Payward, Inc. (“Sponsor” or “Kraken”).
2. Eligible Areas
   The Promotion is open only to eligible Kraken customers who are legal residents of the United States (excluding New York and Maine) and Canada (collectively, the “Eligible Areas”). The United Kingdom and any other jurisdiction where this Promotion is prohibited or restricted by law are excluded.
3. Promotion Period
   The Promotion begins on February 16, 2026 at 1700 UTC and ends on March 5th, 2026 at 2359 UTC (the “Promotion Period”).
4. How to Participate
   To participate in the Promotion, you must:
   (a) Have or create a Kraken account;
   (b) Successfully complete the required identity verification level as determined by Kraken;
   (c) Receive an automated notification from Kraken sent approximately 90 minutes after completing verification indicating eligibility for the Promotion; and
   (d) Execute trades on the Kraken app totalling at least fifty U.S. dollars (US$50) or the Canadian dollar equivalent in fiat or cryptocurrency during the Promotion Period (the “Qualifying Trade”). Buying, selling, or converting on the Kraken app count as trades. Excludes trades from fiat to stablecoins, trades within stablecoins, trades of stocks, trades of tokenised stocks, and trades of Bundles.

Limit one (1) entry and one (1) reward per person and per account for the entire Promotion Period.

5. Determination of Reward
   This is an incentive promotion. Every eligible participant who completes all participation requirements will receive one (1) reward. The reward amount will be randomly determined by Kraken’s incentive platform from a range with an approximate retail value between US$10 and US$500 in XRP (the “Reward”).

All Rewards will be issued in XRP only. No alternative asset or cash equivalent is available.

6. Reward Issuance
   Rewards will be credited directly to eligible participants’ Kraken accounts within three (3) days after Kraken confirms compliance with these Official Rules. Accounts must be active, verified, and in good standing at the time of Reward issuance.
7. Eligibility Requirements
   You are eligible to participate if, at the time of entry and throughout the Promotion Period, you:
   (a) Reside in an Eligible Area;
   (b) Are at least the age of majority in your jurisdiction of residence;
   (c) Agree to and comply with the Kraken.com Terms of Service; and
   (e) Are not otherwise ineligible under applicable law.

8. Disqualification
   Kraken reserves the right to disqualify any participant if it determines, in its sole discretion, that the participant has violated these Official Rules, the Kraken.com Terms of Service, or applicable law, or has engaged in fraudulent, abusive, manipulative, or non‑bona fide activity.
9. No Transfer; No Substitution
   Rewards are non‑transferable, non‑exchangeable, and may not be redeemed for cash. Kraken may substitute a reward of equal or greater value in its sole discretion if XRP is unavailable or impracticable.
10. Withdrawal hold on reward amount
    The “Reward” cannot be withdrawn by a participant for 30 days. After 30 days have elapsed, participants may withdraw the “Reward”.
11. Consents and Privacy
    By participating, you consent to Kraken’s collection and use of your personal information for purposes of administering the Promotion and complying with applicable laws and regulations. Personal information will be used in accordance with Kraken’s Privacy Notice available at https://kraken.com/legal/privacy.

You further consent to receive communications, including marketing communications, from Kraken.

11. Disclaimers
    Kraken is not responsible for any technical failures, interruptions, or delays, including those related to internet connectivity, account access, or system errors, that may affect participation or Reward issuance. Kraken and the Kraken Related Parties are not liable for any loss or damage arising from acts of God, governmental actions, war, terrorism, labor disputes, market disruptions, or other events beyond their reasonable control.
12. Limitation of Liability, Disputes, and Governing Law
    By participating in the Promotion, you release and hold harmless Kraken and the Kraken Related Parties from any and all claims arising from participation in the Promotion or receipt or use of any Reward.
    Any dispute arising under or relating to this Promotion shall be governed by the laws of England and Wales, without regard to conflict‑of‑law principles, and shall be resolved by confidential binding arbitration in London, England, under the rules of the London Court of International Arbitration (LCIA). Judgment on the arbitration award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, Kraken may seek equitable relief in any court of competent jurisdiction.

13. Taxes
    Participants are solely responsible for any taxes, duties, or reporting obligations arising from receipt of a Reward. Kraken does not provide tax advice.
14. General Rules
    Kraken reserves the right to modify, suspend, or cancel the Promotion at any time in its sole discretion. Kraken’s decisions regarding the Promotion are final and binding. Failure to enforce any provision of these Official Rules shall not constitute a waiver. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
