BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING. NO PURCHASE, PAYMENT, OR FUNDING NECESSARY TO PARTICIPATE OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Sponsor

This promotion (the “Promotion”) is sponsored by Payward, Inc., known as Kraken (“Sponsor” or “Kraken”), 1209 Orange St., Wilmington, DE 19801.

xStocksFi is a promotional partner only and is not the sponsor, administrator, or issuer of this Promotion.

2. Eligible Areas

The Promotion is open only to natural persons who are legal residents of jurisdictions where $NVDAx is lawfully available on Kraken and where Kraken is permitted to provide such product, excluding the United States, Canada, the United Kingdom, Australia, and any jurisdiction where participation is restricted or prohibited by law. Participation is void where prohibited.

3. Promotion Period

The Promotion begins at the time of the initial post by @krakenfx announcing the Promotion and ends seven (7) days later, closing prior to the applicable market close on the final day (the “Promotion Period”).

Entries submitted outside the Promotion Period will not be considered.

4. How to Enter

To enter, participants must during the Promotion Period:

  1. Follow @krakenfx on X (Twitter);

  2. Follow @xStocksFi on X (Twitter);

  3. Repost the official giveaway post; and

  4. Comment in response to the prompt: “How has AI changed you?”

Limit one (1) entry per person. Multiple entries, automated entries, or entries submitted via bots or similar methods are prohibited.

No purchase, trading activity, deposit, or account funding is required to enter.

5. Winner Selection

This is a skill-based contest.

Ten (10) winners will be selected by an internal panel appointed by Sponsor.

Entries will be evaluated based on:

  • Originality

  • Clarity

  • Authenticity

Judging decisions are final and binding.

6. Prize

Each winner will receive one (1) $NVDAx tokenized stock (the “Prize”).

Approximate Retail Value (“ARV”): Equal to the market value of one (1) $NVDAx at the time of prize crediting.

Total number of Prizes: Ten (10).

Prizes:

  • Are non-transferable;

  • May not be substituted or exchanged for cash;

  • Will be credited to the winner’s verified Kraken account;

  • Require completion of applicable onboarding and KYC verification;

  • May not be available in all jurisdictions.

If a winner does not have an eligible and verified Kraken account in a permitted jurisdiction at the time of distribution, the Prize may be forfeited.

Sponsor reserves the right to substitute a prize of equal or greater value if necessary.

7. Eligibility

You are eligible to participate if, at the time of entry and during the Promotion Period:

  • You reside in an Eligible Area;

  • You are at least 18 years old or the age of majority in your jurisdiction;

  • You agree to the Kraken.com Terms of Service;

  • You are not otherwise prohibited under applicable law.

By entering, you represent and warrant that you meet all eligibility criteria.

Winners must complete any required onboarding and identity verification necessary to receive and hold $NVDAx in their jurisdiction at the time of prize distribution. Failure to do so may result in forfeiture.

8. Disqualification

Sponsor reserves the right to disqualify any participant who:

  • Violates these Official Rules or the Kraken.com Terms of Service;

  • Submits false or misleading information;

  • Uses automated methods, bots, or multiple accounts;

  • Engages in fraudulent, abusive, or manipulative behavior;

  • Resides in a prohibited jurisdiction.

9. Notification of Winners

Winners will be announced via @krakenfx and may be contacted via X direct message.

Winners must respond within the timeframe specified in the notification and complete any required verification.

Failure to respond or complete verification may result in forfeiture and selection of an alternate winner.

Prizes will be credited within thirty (30) days of confirmation of eligibility and account verification.

10. Consents and Approvals

By entering the Promotion, you agree that any content submitted may be used by Sponsor for promotional purposes.

You consent to Sponsor using your name, handle, and entry for promotional and marketing purposes without additional compensation, except where prohibited by law.

$NVDAx is a tokenized representation of equity exposure, involves risk, including potential loss of value, and may not be available in all jurisdictions. Availability is subject to geographic restrictions and account eligibility. This Promotion does not constitute investment advice or an offer to sell or a solicitation to buy any financial instrument. 12. Disclaimers

Kraken is not responsible for:

  • Technical failures, platform outages, or delays;

  • Entries not received due to system interruptions;

  • Changes in law or regulation affecting availability of $NVDAx;

  • Any events beyond its reasonable control, including acts of God, regulatory action, or market disruption.

13. Limitation of Liability, Disputes, and Governing Law

By participating in the Promotion, you agree to and hereby do release and hold harmless Kraken and the Promotion Related Parties from any damage, injury, death, loss, claim, action, demand, or other liability (collectively, “Claims”) that may arise from your acceptance, possession and/or use of any prize or your participation in this Promotion, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.

BY PARTICIPATING IN THE PROMOTION, YOU AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION THAT CANNOT BE RESOLVED BETWEEN YOU AND KRAKEN, OR THE KRAKEN RELATED PARTIES ARISING OUT OF OR CONNECTED WITH THE PROMOTION WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWENTY FIVE DOLLARS ($25.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN ANY AWARD FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TWENTY FIVE DOLLARS ($25.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

These Official Rules and the Promotion are governed by the laws of England and Wales, without reference to conflict-of-law principles.

Any dispute arising out of or relating to this Promotion will be resolved by confidential binding arbitration in London, England, under the LCIA Arbitration Rules, and judgment on the award may be entered in any court of competent jurisdiction.

14. General Terms

Kraken reserves the right to modify these Rules in any way or at any time. Kraken reserves the right, in its sole discretion, to cancel or suspend this Promotion should viruses, bugs or other causes beyond their control corrupt the administration, security or proper operation of the Participation. In the event of cancellation or suspension, Kraken shall promptly post a notice on its website to such effect. Failure to enforce any provision of these Rules shall not constitute a waiver of that provision. Kraken’s decisions will be final in all matters relating to the Promotion. You waive any right to claim ambiguity in the Promotion or these Rules. The invalidity or unenforceability of any provision of these Rules will not affect the validity or enforceability of any other provision. If the Promotion is not capable of running as planned for any reason, Kraken reserves the right, in our sole discretion, to cancel, modify or suspend the Promotion and unilaterally select winners from eligible submissions received prior to cancellation, modification, or suspension or as otherwise deemed fair and appropriate by Kraken.
