HOLIDAY NEW USER PROMOTION — OFFICIAL RULES

BY PARTICIPATING IN THIS PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING. Sponsor (“Kraken”)

This Promotion (“Promotion”) is sponsored by Payward, Inc., 1209 Orange Street, Wilmington, DE 19801 (“Kraken,” “we,” or “Sponsor”).

Eligible Areas

This Promotion is open to eligible customers residing in the following jurisdictions:

Eligible:

• United States (excluding New York and Maine)
• Canada
• European Economic Area (EEA)
• Australia

Open to eligible Kraken customers excluding the United Kingdom and restricted regions where such promotions are prohibited by law or regulation.

Promotion Period

The Promotion begins December 8, 2025, and ends December 24, 2025 (the “Promotion Period”).
Kraken reserves the right to modify, suspend, or terminate the Promotion at any time.

How to Participate

To qualify, a participant must:

1. Be a new-to-Kraken customer who has never previously opened a Kraken account;
2. Sign up for a Kraken App (consumer) account during the Promotion Period; and
3. Fund and trade their new account with the specified amount listed below (fiat or crypto) before 23:59 UTC on December 24, 2025.

Each eligible participant who completes these steps will automatically receive the Reward described below. Trades with fiat to stablecoins & equities trades do not count.

Reward

Each eligible participant will receive USD $50 in Bitcoin (BTC) (the “Reward”).
Rewards will be credited automatically to eligible participants’ Kraken accounts 14 days after meeting the promotion criteria.
Limit one (1) Reward per user.
Rewards are non-transferable, non-exchangeable, and may not be redeemed for cash or other substitutes.

Eligibility to Participate

You are eligible to participate if, at the time of entry and throughout the Promotion Period, you:

• Reside in one of the Eligible Areas listed above;
• Agree to and comply with the Kraken.com Terms of Service and these Rules;
• Are of the legal age of majority in your jurisdiction; and
• Are not a “Kraken Related Party,” defined as Kraken employees, officers, directors, managers, agents, consultants, representatives, or family members thereof, nor any Kraken affiliate, subsidiary, partner, or agency involved in administering the Promotion.
  
  

Disqualification

Kraken reserves the right to disqualify any participant, in its sole discretion, who:

• Violates these Rules or the Kraken Terms of Service;
• Provides false or misleading information;
• Engages in fraudulent, abusive, or harmful behavior; or
• Attempts to participate through multiple or fake accounts.

Notification and Issuance

Rewards will be credited directly to eligible participants’ Kraken accounts 14 days after meeting the promotion criteria.
Accounts must be active, verified, and in good standing at the time of crediting. Kraken may request additional verification before issuing the Reward.

Consents and Approvals

By entering this Promotion, you consent to Kraken’s use of personal information for the purposes of administration and compliance with applicable laws. You also consent to receive communications, including marketing messages, from Kraken.

Disclaimers

Kraken is not responsible for network outages, technical failures, or other issues preventing participation. Kraken and its affiliates shall not be liable for delay or failure to perform due to acts of God, natural disasters, pandemics, war, terrorism, government orders, labor disputes, or any other circumstances beyond their reasonable control.

Limitation of Liability, Disputes, and Governing Law

By participating, you agree to release and hold harmless Kraken, its affiliates, and their respective officers, employees, and agents from any claims, losses, or damages arising from participation or acceptance of the Reward.

To the fullest extent permitted by law:

1. All disputes shall be resolved individually, without resort to class actions.
2. Recovery is limited to actual, out-of-pocket costs (not exceeding USD $25).
3. No punitive, incidental, consequential, or special damages are recoverable.

Governing Law & Arbitration:
These Rules and any dispute arising under or related hereto shall be governed by the laws of England and Wales, without reference to its conflicts-of-law principles.
All disputes shall be determined by confidential binding arbitration in London, England, conducted under the LCIA Rules.
Judgment on any award may be entered in any court having jurisdiction. Kraken may seek equitable relief in any competent court.

Taxes

Participants are solely responsible for any taxes or duties arising from receipt of the Reward. Kraken does not provide tax advice.

General Rules

Kraken reserves the right to modify these Rules or suspend/cancel the Promotion at any time. Failure to enforce any provision shall not constitute a waiver. If any part of these Rules is held invalid, the remainder shall remain in full force and effect.
Kraken’s decisions are final in all matters relating to the Promotion.
