1. Sponsor
This Promotion (“Promotion” or “Sweepstakes”) is sponsored by Payward, Inc., 1209 Orange Street, Wilmington, DE 19801 (“Kraken” or “Sponsor”).
2. Eligible Areas
Open to eligible Kraken customers who receive communications inviting them to opt in to this Promotion and who reside in any of the jurisdictions listed in this section of the original rules, including Canada (excluding Quebec). Not available in certain jurisdictions, including the United Kingdom, Australia, and anywhere prohibited by law.
Marketing for this Promotion is not directed at residents of jurisdictions where this Promotion is void.
3. Promotion Period
The Promotion begins on December 4th, 2025 at 1200 UTC and ends on January 5th, 2026 at 1800 UTC (the “Promotion Period”).
4. How to Enter
To participate, clients must first enrol into the incentive by tapping the 'Opt in' button for this incentive on either the Offers screen of the Kraken app or the Promotions screen of the Kraken Pro app.
Each USD $1 in notional value (or the equivalent amount in another currency) traded on eligible Kraken Spot, Margin (un-leveraged amount), or PTL markets during the Promotion Period earns one (1) entry into the Sweepstakes. Trading means Buying, Selling, or Converting and excludes trades between fiat and stablecoins, or within stablecoins. This also excludes stock and ETF trades for US users as well as xStocks trades for users in other regions, where available. Maximum of 1,000,000 entries per participant.

All entries received via Sweepea will be treated with equal dignity to trade-based entries. 10 entries will be awarded for

5. Prize Details
One (1) winner will receive 3 Bitcoin (BTC).
Ten (10) winners will receive $8,500 USD in BTC
100 winners will receive $850 USD in BTC
The Approximate Retail Value of the prizes will be determined based on the market price of BTC at the time it is awarded. Prize is non-transferable and may not be substituted for cash except as Kraken may determine in its sole discretion.
6. Winner Selection and Notification
The potential winners will be selected by random drawing from all eligible entries on or about January 5th, 2025. The drawing will be conducted by Kraken or its authorized vendor. The selected winners’ prize will be automatically credited to their verified Kraken account on the same day as the drawing. No action or response is required from the winner to claim the prize.
In the event that a winner’s account is closed, suspended, or otherwise ineligible at the time of crediting, the prize may be forfeited and Kraken may, in its sole discretion, conduct an alternate drawing from remaining eligible entries.
For Canadian residents only (excluding Quebec): Before being confirmed as a winner, the selected participant must correctly answer, without assistance and within a limited time, a mathematical skill-testing question administered by Kraken.
7. Eligibility Requirements
Participants must: (a) hold a verified Kraken Consumer or Pro account in good standing; and (b) meet age of majority in their jurisdiction (18+ or as applicable). Additional residency limitations appear in Section 2.
8. Disqualification
Kraken reserves the right to disqualify any entry or participant if Kraken determines, in its sole discretion, that the participant has violated these Official Rules, the Kraken.com Terms of Service, or applicable law, or has otherwise engaged in fraudulent or abusive conduct in connection with the Promotion.
9. Privacy and Data Use
Personal information collected will be used solely for administration of the Promotion and as described in Kraken’s Privacy Policy at https://kraken.com/legal/privacy .
10. Taxes
The winner is solely responsible for any applicable taxes and reporting obligations arising from receipt of the prize.
11. Limitation of Liability, Disputes, and Governing Law
11(a). U.S. Residents (excluding New York, Florida, and Maine)
For participants who reside in the United States (excluding NY, FL, and ME), these Official Rules and any dispute, claim, or controversy arising out of or relating to this Promotion (“Dispute”) are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Any Dispute will be resolved through binding individual arbitration under the rules of the American Arbitration Association (“AAA”) and the Federal Arbitration Act (“FAA”). Arbitration may be conducted by video conference, by telephone, based on written submissions, or in person in the county of the participant’s residence or in San Francisco, California. Class or representative actions are not permitted. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Kraken may seek equitable relief in any court of competent jurisdiction.
11(b). Participants Residing Outside the United States
For participants who reside outside the United States, any dispute arising from or relating to this Promotion shall be governed by the laws of England and Wales and resolved by confidential binding arbitration in London, England, under the LCIA Rules. Judgment on the award may be entered in any court of competent jurisdiction.
Kraken may seek equitable relief in any court of competent jurisdiction.
12. General Rules
Kraken reserves the right to modify, suspend, or terminate the Promotion at any time for reasons including fraud, technical issues, or legal requirements. Failure to enforce a term is not a waiver. If any provision is held invalid, the remaining provisions remain in effect.
Marketing for this Promotion is not directed at residents of jurisdictions where this Promotion is void.
