Spot Incentive

BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING. THIS PROMOTION REQUIRES TRADING ACTIVITY TO QUALIFY FOR A REWARD. TRADING INVOLVES RISK OF LOSS.

1. Sponsor

This Promotion (“Promotion”) is sponsored by Payward, Inc., known as Kraken (“Sponsor” or “Kraken”).

2. Eligible Areas

The Promotion is open to eligible Kraken Spot customers residing in all Spot-eligible geographies, excluding the United Kingdom and any other jurisdiction where trading incentives are restricted or where Kraken does not operate.

3. Promotion Period

The Promotion begins 1 December 2025 and ends 31 December 2025 (“Promotion Period”). Kraken may modify, suspend, or end the Promotion at any time.

4. How to Participate

To qualify for the Promotion, you must:
A. Hold a Kraken Pro account;
B. Login on your Kraken Pro mobile app and opt in via the Promotions screen;
C. Meet all required KYC verification levels for Spot trading in your jurisdiction;
D. During the Promotion Period, complete the following Spot trading volume milestones (“Qualifying Activity”):

Each participant may qualify for and receive rewards for up to four (4) milestones during the Promotion Period. Limit one (1) reward per milestone per participant.

5. Reward

Eligible participants who complete a qualifying milestone will receive BTC credited to their Kraken account equivalent to the amounts above.
Total maximum reward payout per user = $3,600 equivalent in BTC.
Rewards will be credited within 30 days following confirmation of compliance with these Rules.
Rewards are non-transferable and may not be redeemed for cash. Kraken may substitute a reward of equal or greater value where required.

6. Eligibility

You are eligible if, at the time of entry and during the Promotion, you:
• Reside in an Eligible Area;
• Maintain a verified Kraken Pro account;
• Agree to the Kraken.com Terms of Service;
• Are not otherwise prohibited from participating under applicable law.

7. Disqualification

Kraken may disqualify participants who:
• Violate these Rules or Kraken’s Terms of Service;
• Provide inaccurate account information;
• Engage in fraudulent, abusive, manipulative, or harmful behavior;
• Attempt to circumvent limits, create multiple accounts, or otherwise interfere with the Promotion.

8. Issuance of Rewards

Rewards will be automatically credited within 30 days following qualification.
If an account is closed, suspended, or ineligible at the time of distribution, Kraken may withhold or cancel the reward.

9. Consents and Approvals

By participating, you consent to Kraken using data submitted or collected in connection with the Promotion, including disclosure to third parties for administration, compliance, and legal purposes.

10. Disclaimers

Kraken is not responsible for technical issues, outages, service interruptions, or events outside its reasonable control, including force majeure circumstances such as natural disasters, war, labor disputes, or government action.

11. Limitation of Liability; Class Waiver

By participating in the Promotion, you agree to release and hold harmless Kraken and its affiliates, subsidiaries, officers, directors, employees, agents, and representatives (collectively, “Kraken Related Parties”) from and against any damage, injury, death, loss, claim, action, demand, or other liability (collectively, “Claims”) arising out of or relating to your participation in the Promotion or any Reward, whether known or unknown at the time of entry or thereafter.

To the maximum extent permitted by law:

1. All disputes, claims, and causes of action that cannot be resolved with Kraken and that arise out of or are connected with the Promotion must be resolved individually, without resort to any form of class action or representative proceeding.
   
2. All claims, judgments, and awards shall be limited to actual, third-party, out-of-pocket costs (if any), not to exceed USD $25.00, and attorneys’ fees may not be awarded or recovered.
   
3. You may not obtain punitive, incidental, consequential, special, or multiplied damages, or lost profits.
   
4. Your remedies are limited to a claim for money damages (if any), and you irrevocably waive any right to seek injunctive or equitable relief.
   

Nothing in this Section limits or excludes any liability that cannot lawfully be limited or excluded under applicable law.

12. Taxes

Participants are solely responsible for any taxes or duties arising from receipt of any reward.

13. General Rules

Kraken may modify these Rules at any time.
Kraken may cancel or suspend the Promotion where necessary for integrity, security, legal, or operational reasons.
Failure to enforce a provision does not constitute a waiver.
If the Promotion cannot run as planned, Kraken may cancel, modify, or select recipients in a manner deemed fair and appropriate.
